Pulley is shutting down on December 8th, 2026.

To ensure our customers don't experience a disruption of service, and maintain access to industry-leading equity management solutions, we've entered into an exclusive partnership with Carta.

We understand you may have questions about how this impacts you. Please read on for answers about what's happening, what options you have for migration, and what next steps you need to take.

What's Happening

When is Pulley shutting down?

Pulley is shutting down on December 8th, 2026. At that time, The Pulley app experience will no longer be accessible, and our team will no longer be available to support your organization.

You will retain the ability to access your Pulley data in a limited format through the Pulley app until January 31st, 2027.

What is Pulley’s relationship to Carta and how is that involved in shut down?

Pulley selected Carta as our trusted partner to support our customers through the transition where we wind down business. 

Carta was selected due to their ability to handle the needs of our customers, and their commitment to facilitating seamless transitions that avoid disruption of service.

Why did Pulley choose Carta over other providers?

Carta is the equity management platform used by over 55,000 companies worldwide, from seed-stage startups to pre-IPO companies. Beyond the cap table, you get access to 409A valuations, equity plan management, investor reporting, board management, HRIS integrations, and fund administration connectivity, all in one place. They have previously shown success supporting platform transitions at this scale before.

Transitioning to Carta

How does transitioning to Carta work?

Transitioning to Carta is a direct migration process that brings your entire cap table and history from Pulley to Carta with no lift required from you or your team.

Once you opt-in to sharing your contact information and contract details with Carta, you will be contacted by representatives from Carta. Carta will communicate the timeline for migration to eligible customers, and provide you with a new agreement (more information on contracts is below). Note: Opting into sharing your contact information and contract details is not a contractual agreement to migrate to Carta.

Upon receiving and signing a new Carta-provided 12-month contract, Carta will collaborate with Pulley to migrate your account and ensure you are fully set up on the Carta platform. 

You will then be contacted to confirm that set-up is correct once migration is complete. Once you confirm accuracy, your Carta account will be available for your use.

How do I start the transition to Carta?

The first step in transitioning to Carta is to opt in to giving Pulley consent to share your contact information and contract details with Carta. The choice to opt in can be made when you log in to Pulley.

Once you opt in, Carta will contact you with details on next steps, including contract and timeline details.

What information will you share with Carta if I opt into sharing contact details and contract information?

Pulley will share enough contact information to ensure that Carta can reach out and communicate with your decision-makers. 

Pulley will only share contract information that is necessary for Carta to assess if you qualify for migration.

Opting in will not result in your cap table and cap table history being shared unless a new agreement is signed with Carta.

Will Pulley be available to help with this transition?

Yes, Pulley will be working with Carta directly and our team will also be available to answer any questions you have until December 8th, 2026.

Contracts & Pricing

Do I need to sign a new contract with Carta?

Yes, a new agreement with Carta is required if you choose them as your new provider. Your current Pulley pricing will be honored for your first full year on Carta, and you will receive a credit for any unused, prepaid balance on your Pulley subscription.

I’ve already paid for Pulley but agree to migrate to Carta within the migration offer period. Will my payments be applied to my new account?

Yes. Carta will match economics and apply a credit for any prepaid remaining time on your Pulley subscription. 

When does my Carta contract start?

Your Carta agreement and Year 1 pricing take effect the day you sign, regardless of when your technical migration happens. Signing locks in your rate and contract term; your migration is scheduled separately.

I’m on a [monthly / quarterly / semi-annual] plan at Pulley. Will I be able to remain on that cycle or will I need to switch to an annual contract?

If you're on a MONTHLY plan: Carta offers annual and quarterly billing, but not monthly. You'll start on one of those plans at your current Pulley rate for Year 1.

If you're on a QUARTERLY or SEMI-ANNUAL plan: Carta offers quarterly, semi-annual, and annual billing, so you can stay on a similar cycle.

What happens if I don’t sign a new Carta contract?

You are free to select a different cap table provider to work with. However, if you do not have a new agreement in place with Carta, or another provider, before Pulley ceases operations, you will lose access to your cap table. Your data will be available until January 31, 2027.

Please note that Pulley will not be available to assist a migration to a different provider in any capacity and Pulley cannot provide any guarantee that your current pricing will be honored by a different provider.

Will Pulley assist me if I want to transition to a different cap table provider?

Pulley is unable to assist a migration to a different provider in any capacity.

Can I still switch to Carta if I don’t opt in to this migration offer by 12/8/26?

While you can sign up for a new Carta account after November 30th, 2026, you cannot take advantage of Carta’s collaborative migration process, and you will need to sign a new contract with Carta that has no guaranteed pricing or credits applied. 

If you do not opt in to sharing contact information and contract details with Carta by 11/30/26, Pulley offers no guarantee regarding timing, pricing, or disruption to service. Our team will not be available to assist your migration.

Your Data & Platform Migration

What happens to my data if I don't initiate migration by November 30th, 2026?

After 11/30/26, your Pulley data will be accessible in a limited capacity through the Pulley app until January 31, 2027.

How will my data be migrated? What happens if data is lost?

Pulley will work with Carta to transfer your data through a combination of tooling and dedicated specialist support. Your cap table data, documents, transaction history, and equity records will all be migrated. 

If anything looks different after migration, it’s most likely a display or terminology difference rather than data loss. As part of onboarding, you will have the opportunity to review your data with Carta and flag anything that needs attention.

Do I need to do anything during the migration process?

The technical migration is handled by Carta. Carta will reach out ahead of your transition with timing details and any required steps specific to your account, such as confirming shareholder contact information.

How long will migration take?

For most accounts, the migration takes a few business days once your contract is signed and your window opens. More complex cap tables may take a bit longer. Your Carta contact will provide a specific timeline when your cohort is scheduled.

Will Carta defend Pulley’s prior 409A work following transition? 

Carta can accept Pulley’s existing 409A and FMV as-is, customers just need to provide a copy. Once your 409A expires, Carta’s 409A team will act as the provider. Carta will also support the defense of Pulley’s prior 409A work following the transition.

What is my deadline to sign?

You have two weeks from when your agreement arrives to sign. Pulley recommends not waiting. The sooner you sign, the sooner your transition is scheduled, and the more time you have to get settled on Carta before Pulley fully winds down on December 8th, 2026.

Will my data be safe with Carta?

Yes. Carta is a registered transfer agent with the SEC, held to rigorous data and compliance standards. Your cap table data is stored securely and covered by SOC 2 certification. You can review Carta's security posture at trust.carta.com.
