Anti-dilution provisions: Weighted average vs. full ratchet

Anti-dilution provisions adjust an investor's conversion price if you later raise at a lower valuation, known as a down round. Weighted average anti-dilution, the more common form, adjusts the price based on how many shares were issued and at what price, so the effect is proportional. 

Full ratchet resets the earlier investor's price to the new, lower price regardless of size, which is far more dilutive to founders and employees. Tracking which class carries which formula, and recalculating when a down round hits, is where dilution modeling gets difficult.

SAFE and convertible note conversion across multiple rounds

SAFEs and convertible notes are early instruments that convert into equity at a later priced round, usually at a discount or subject to a valuation cap. In a multi-round company, you often hold SAFEs from different periods, on different terms, converting at different triggers.
